The last two days we attended a stand at the Natural Products and Organic show 2014, at the Olympia, in London England. Shows are always tiring but we ended up with lots of good leads. We met Sabrina for the first time, our sales person for the midlands (middle part of England,) and we were very impressed with her. Our daughter Meaghan was also helping us with the show.<br />

We are off to Europe today to get ready for the Natural &amp; Organic Products Europe 2014. We have a stand there for our business . We are going with my wife Janet and our daughter Meaghan. You always leave for Europe in the evening and arrive around 2am our time which is 7am England time or 8am Paris time. We never seem to sleep in a plane well and in effect, you miss a night of sleep. </p>

We flew from Toronto to Paris and then Paris to the UK.</p>

<p>The flight was uneventful which I am always thank full for. We rented a car for the next few days so we could do some visits.<br />

<p><b>11-April-2014</b><br />
Today we drove to Newbury to meet with our new banker and our accountant. We are switching from the Royal Bank of Scotland to Barclays Bank. Years ago, we had a word from Mark in Jamaica that he saw us in the UK and he saw Barclays. We focused more on the &#8220;being in the UK&#8221; and didn&#8217;t worry about the Barclays part. But it never left us. We wanted to switch banks at this time, and Barclays seemed to be the bank of choice for us. We always seem to be running behind a bit and added with driving on the wrong side of the road, it is never a relaxing ride. Janet always drives and I always navigate. Half way through the trip we discover this car has a built in GPS and it helped a lot.<br />

From there we go to see our new warehouse facilities. The company we use, James and James, are moving from Foxton to Sawston. We drove to Foxton first, to pick up product for our show and then drove to Sawston to meet one of the James who own the facility. We ended up arriving 15 minutes before closing and got the &#8220;lickity split&#8221; tour. But it sufficed.</p>

Today we move from one hotel to the other and set up our show.</p>

		<title>Whether to Incorporate Your Canadian Company or Not</title>

<p>I was asked by my daughters, Lynae and Meaghan, whether to incorporate their new company or not so I thought I would write a blog post about it.</p>
<p><strong>Advantages</strong></p>
<ol>
<li><strong>Limited Liability</strong> – This is why companies are usually called something like XYZ Ltd. The alternative to an incorporated business is the sole proprietor or a partnership. With those two, all the liability lies on the sole proprietor or the partners. So if someone wants to sue your company, then they only sue incorporated company. Also, if the corporation becomes insolvent, then the creditors cannot come after the shareholders.Reality – We now have the &#8220;law of deep pockets&#8221; which means you can sue anyone and everyone. So if someone sues, they can sue the corporation, you and anyone else they may deem has something to do with it. If you are proven to have 1% blame and you have 100% of the money, you will end up paying. So in reality, having your company incorporated doesn&#8217;t really help the potential litigation problem. Also, banks will not lend to a new corporation with no assets and so the shareholders end up personally signing anyway.<br />
<strong>Conclusion</strong> – To incorporate for Limited liability doesn&#8217;t give any real advantage for small businesses that are just starting and doing it for this purpose.</li>
<li><strong>Taxes</strong> – In Canada, the effective corporate tax rate is 15% so you will have less tax to pay on your profitable business.<br />
<strong>Reality</strong> – Most small business owners want to take all the profits and use it now so they might as well forget the tax break as eventually you will end up paying more tax. Here is an example. Year one your corporation makes $100,000 and so you take out the $100,000 in wages and you pay around 19.5% and the corporation makes zero because they paid all their profits in wages; no tax advantage. Another example. Year one your corporation makes $100,000 and you leave it in and wind up paying $15,000 in taxes; you now have $85,000 left in the corporation. Then if you want to take the money out the following year, you only have $85,000 (after corporate tax) to draw from and then you will have to pay approximately 19.5% personal tax on it. In effect, you now paid double tax. So it is just better to take the hit and not keep it in the corporation</li>
<li><strong>Cost</strong> – It will cost you between $200 (on line, do it yourself)-$1000 (pay some experienced person to help you) to set up your business and you will need to do two income tax returns; personal and corporate. You will also need new bank accounts, cheques, business cards and more. That is just start up costs. On an on going basis, our corporate taxes cost us about $800 per year on top of our personal taxes.</li>
</ol>
<p>You also have to file on line, once a year for $20. If you miss it, you will lose your incorporation within about a year and a half. You have to remember. You also have to have a shareholders meeting and keep notes at least once a year. If you decide to change banks, take out a loan, or make other decisions, they should be recorded in your corporate journal.</p>
<p>We went incorporated for a different reason. Our company obtained contracts from large corporations like Dow and Exxon. Some of those companies got burned with long term contract employees suing for benefits after a protracted period of time and the courts sided with the contracted employees. This caused them to require that they only hire a contract person through another company. By having my own limited company, it satisfied their hiring requirements and I could obtain the full rate without having to give up part of the pay through a head hunter company.</p>
<p>If you plan on being a large company, with many employees, it is wise to incorporate. If you are planning to only have you as the sole employee, most people find it encumbering and regret the move as they find it hard to realize any advantages. I have had a few friends that incorporated and then dissolved the corporation after a few years.</p>

<p>We are off to Europe for 25 days on a business trip. We sell magnesium supplements under the brand name of Tr&uuml;Mag. These products are the same as the US version Natural Calm. We had to change the name as the EU regulations do not allow any claims and they considered “Natural Calm” a claim. We started this business in the UK in August 2008, right around the time that the Lehman Brothers triggered a major global recession. We decided to move ahead and figured that if we could make it in “these hard times”, we would have a sustainable business. Our business is called Calm Natural Limited. We have two incorporated companies by that name; one in the <a href="http://calmnatural.com/">USA</a> and one in the <a href="http://calmnatural.co.uk/">United Kingdom</a>.</p>
<p>Natural Calm is the best selling magnesium supplement in the US, for more than 6 years running and has been on the market for more than 30 years. So we feel really privileged to be able to distribute it. Even though the product works so well, the biggest problem we are running into is store owners. Once they realise how well it works and they see the repeat business, they sell a lot of it. Most stores owners, though, are just barely surviving in this economy and are focusing on the bottom line. It is easier to sell a product for under €10 than one for €21.50 which ours is. Ours also will last more than 6 weeks but it is that initial outlay. So we are having a hard time getting it into the stores.</p>
<p>Our goal on this trip is to get our product into many more stores and into the hands of consumers. There are two shows we plan on attending; the Rude Health Show in Dublin Ireland September 15-16<sup>th</sup> and the Pharmacy Show in Birmingham UK September 30<sup>th</sup> – October 1<sup>st</sup>. We also have a new person that is in Holland that we are going to see and work with to get our products launched there. So we are doing that in-between the two shows.</p>
<p>France is our next country of target and we are planning to meet a new potential distributor in Paris after the Birmingham show. We will be in France from October 2-4 and then fly out October 4,  back to Dublin so we can fly back home on October 5. We have a total of 8 flights.</p>
<p>We finally left two hours later than we wanted and I am now sitting at the Detroit airport.</p>
